Agreement to Terms

Welcome to Just Vent. These terms explain the rules for using our app and AI companion. Please read them before you start using Just Vent.

By using Just Vent, you agree to these terms. If you don't agree, please don't use the app.

Description of Service

Just Vent gives you an AI companion to talk with about your feelings and mental health. Here's what you get:

• Talk with our AI companion (voice or text)
• Voice analysis to understand your emotions (optional)
• Insights about your emotional patterns
• Coping strategies that work
• Connect your fitness tracker or smartwatch (optional)
• Crisis detection and helpful resources
• Your conversation history and basic stats

What we're not

Just Vent isn't a replacement for real therapy or medical care. By using our app, you understand that:

• We don't give medical advice, diagnose conditions, or provide treatment
• Our AI can't handle emergencies
• We're not doctors or licensed therapists
• We don't have to report things like real therapists do
• Don't use Just Vent as your only mental health resource
• You might need real therapy with a licensed professional

Assumption of Risk

You use Just Vent at your own risk. Our AI companion is here to support you, but it's not professional medical, psychological, financial, or legal advice.

Here's what you need to know:

• If you follow our AI's advice, that's your choice and your risk
• AI isn't perfect - it might give wrong, incomplete, or unhelpful answers
• We can't promise our AI will always be accurate or reliable
• You're responsible for your own decisions and actions
• Our AI can't handle emergencies or crisis situations

In a mental health crisis, call 911, a crisis hotline, or a real therapist right away.

By using Just Vent, you accept the risks that come with it, including misunderstanding what our AI says, relying on AI advice, and any emotional effects.

Account Registration and Security

Creating your account

You need an account to use Just Vent. Give us accurate info when you sign up and keep it updated.

Keeping your account safe

You're responsible for:

• Keeping your password secret
• Everything that happens with your account
• Telling us right away if someone else uses your account

Account Restrictions

You may not:

• Share your account credentials with others
• Create multiple accounts for the purpose of abuse or circumvention
• Use the Service if you are under the age of 13
• Use the Service if you are between 13-17 without parental guidance

Subscription and Payment Terms

Subscription Plans

We offer various subscription plans for access to the Service. Current pricing and plan details are available on our pricing page and during the checkout process.

Payment Terms

• All payments are due in advance of the subscription period
• Subscriptions automatically renew unless cancelled
• Prices are subject to change with notice before renewal
• All fees are non-refundable except where required by law
• We use secure third-party payment processors (Polar/Stripe)

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

Acceptable Use

You agree to use the Service responsibly and in accordance with these Terms. You may not:

Prohibited Activities

• Hacking: Try to gain unauthorized access to our systems or other users' accounts
• AI Manipulation: Use prompt injection or other techniques to manipulate our AI Companion
• System Tampering: Reverse engineer, modify, or interfere with our application
• Abuse: Use the Service for illegal activities or to harass others
• Content Violations: Share illegal, harmful, or inappropriate content
• Commercial Misuse: Use the Service for unauthorized commercial purposes

Monitoring and Enforcement

We reserve the right to monitor user activity for compliance and take appropriate action against users who violate these Terms, including account termination and forfeiture of subscription fees.

Well‑being Commitment & Experiments

We design and evaluate product changes with user well‑being as the primary outcome. We may run A/B tests to causally evaluate effects, with predefined guardrails. You consent to participation when you enable well‑being measurement features and can opt out anytime in Privacy Controls.

• Primary measures: post‑session and follow‑up self‑reports; optional objective proxies
• We will not knowingly deploy variants that harm well‑being beyond thresholds
• We may publish anonymized, aggregate outcomes once sample thresholds are met

Care Partner Program (Professionals)

The following terms apply to licensed professionals and organizations who onboard as "Care Partners" to offer complementary support services to users. Care Partners are independent professionals and are not employees, agents, or representatives of Just Vent.

Onboarding Requirements

• Proof of Licensing: You must submit valid and current professional licensing/registration details (e.g., license number, issuing authority/region, license type, and expiry date). You agree to keep this information accurate and updated at all times and notify us immediately of any suspension, restriction, or expiration.
• Professional Insurance: You must maintain professional liability insurance (errors & omissions/malpractice) appropriate for your practice and provide proof of coverage (insurer, policy number, and coverage period) during onboarding and upon renewal.
• Verification: You authorize us to verify your licensing and insurance with issuing authorities or trusted verification providers. We may request additional documentation to complete verification.
• Suspension/Removal: We may suspend or remove Care Partner access if verification fails, required documentation is not provided, or if we identify safety, quality, or compliance concerns.

Compliance Responsibilities

Care Partners are solely responsible for complying with the laws, regulations, licensing, and professional standards applicable to their own practice and jurisdiction (including, but not limited to, confidentiality, data protection, record‑keeping, advertising/telepractice rules, mandatory reporting, and consent requirements).

• Care Partners must configure their workflows to avoid entering patient identifiers and must obtain any legally required client consents before using the platform in connection with professional services.
• Care Partners agree that they, not Just Vent, are the data controller for information they upload relating to their clients, and they will satisfy all applicable obligations (including responding to data subject requests and maintaining records of processing).

Crisis Escalation Protocols

The platform includes safety features that may detect high‑risk content and surface crisis resources. The Service is not an emergency response system. If a user appears to be at imminent risk, Care Partners must follow their local emergency protocols and professional standards. Where permitted by law and user consent, limited information may be shared with appropriate services to facilitate a welfare check.

• Care Partners are responsible for timely escalation in accordance with their jurisdiction's laws and professional duties.
• Jurisdiction‑specific mandatory reporting remains the Care Partner's responsibility.
• We may log crisis‑related events and, where legally required, may cooperate with authorities.

Professional Conduct & Reporting

• Do not misrepresent credentials, scope of practice, or availability.
• Communicate respectfully; avoid harmful, discriminatory, or exploitative conduct.
• Maintain appropriate boundaries; no solicitation that violates professional rules.
• Report suspected safety concerns or policy violations to legal@justvent.app.

We may investigate reported concerns and take actions, including warnings, suspension, or removal from the Care Partner program.

User Content and Privacy

Your Content

As an AI Companion service for emotional wellness & support, we understand the sensitive nature of what you share. Everything you share with us - your thoughts, feelings, and experiences - belongs entirely to you. When you share content through our Service ("User Content"), you maintain complete ownership of all intellectual property rights in that content.

How We Handle Your Content

When you share content with our AI Companion, your data is automatically encrypted. This means:

• All your data is encrypted and never stored in plain text
• Even in the unlikely event of a security breach, your data remains protected
• Our team cannot access or read your conversations unless our safety systems detect a violation
• Your content is used solely to provide you with our emotional wellness & support services
• We will never share, publish, display, or distribute your content for any other purpose

Your private conversations with our AI Companion remain exactly that - private and secure.

Limited License for Service Provision

By using our Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing our AI Companion services, including improving our emotional wellness & support capabilities. This license is revocable and terminates when you delete your content or close your account.

Intellectual Property Rights

Our Rights

The Service, including its original content, features, functionality, and AI Companion technology, is owned by Just Vent and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or try to extract our source code or AI models
• Use our intellectual property for commercial purposes without permission
• Remove or alter any proprietary notices or labels

Disclaimers and Limitations of Liability

Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Just Vent, its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our aggregate liability for all claims relating to the Service exceed the greater of one hundred U.S. dollars (USD $100.00) or the total amount of fees paid by you to Just Vent for the Service during the six (6) month period prior to the date the claim arose.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Just Vent and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your use of the Service, including your User Content
• Any act or omission by you, whether negligent, willful, or otherwise

Termination

Termination by You

You may terminate these Terms at any time by cancelling your account and discontinuing use of the Service.

Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified to you through the Service or via email at least 30 days before they take effect. Continued use of the Service after any such changes constitutes your consent to such changes.

We encourage you to review these Terms periodically to stay informed about our terms and conditions.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Dispute Resolution

Informal Resolution

Before filing a claim against Just Vent, you agree to try to resolve the dispute informally by contacting us at support@justvent.app. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or Just Vent may bring a formal proceeding.

Binding Arbitration

You and Just Vent agree to resolve any claims relating to these Terms or the Service through final and binding arbitration by a single arbitrator, except for claims seeking injunctive relief. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class Action Waiver

NO CLASS ACTIONS. You may only resolve disputes with us on a personal basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

Jury Trial Waiver

WAIVER OF JURY TRIAL. You and Just Vent hereby waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or a jury.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Just Vent regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements.

Community Features & Moderation

The Service may include community features such as support circles or anonymous rooms. You are responsible for what you share. Content shared in community spaces may be visible to other participants. We may moderate content to enforce these Terms and protect user safety, which may include temporary or permanent removal of content or accounts for violations.

AI Providers & Processing

To provide the Service, we use trusted AI providers (e.g., voice processing and response generation). We limit the data shared to what is needed for the Service and require processors to protect data under appropriate agreements. See the Privacy Policy for details.

Analytics & Consent

We use privacy-focused analytics to improve the Service. Analytics collection is subject to your consent and can be managed in Settings.

Payments & Webhooks

We use secure payment processors (e.g., Polar/Stripe). Payment-related events may be processed via webhooks to provision or update your subscription. Failed, disputed, or fraudulent payments may result in suspension or termination of access.
